Concerning inappropriate transactions by consolidated subsidiaries

After receiving reports of inappropriate transactions made by Honda Trading Corporation, a consolidated subsidiary of Honda, we formed an investigatory committee with the cooperation of outside experts. Based on the report of the committee's findings to Honda's Board of Directors as well as its proposals for measures to prevent a similar problem from occurring in the future, we will strive to further enhance our corporate governance system by building structures to assure compliance with laws and internal company rules as well as appropriate managerial judgment, specifically by enhancing the Group's governance, improving awareness of compliance, and strengthening risk management structures, including by reviewing our human resources system.
